1. Guscora is not a regulated entity
1.1 Guscora Investments (Proprietary) Limited (“Guscora”) is not a regulated entity. Guscora is not registered, licensed, supervised, regulated, endorsed or approved by the Namibia Financial Institutions Supervisory Authority (“NAMFISA”), by the Bank of Namibia, or by any other financial services regulator in Namibia or elsewhere.
1.2 Guscora is not required to hold any such registration, licence or authorisation, for the reasons set out in clause 2 below.
1.3 No statement made by Guscora, and no content appearing on this website, is to be read as indicating that Guscora is a regulated entity or that any regulator has approved, endorsed or reviewed Guscora, its business or any of its investments.
2. Why Guscora is not regulated
2.1 Guscora is a private company incorporated under the Companies Act, 2004 (Act No. 28 of 2004). It acquires, holds and disposes of securities and property for its own account, using its own funds and the capital contributed by its shareholders. Guscora invests as principal and bears the economic consequences of its own investment decisions.
2.2 Guscora does not:
2.2.1 offer, market, issue or provide any financial product to any person;
2.2.2 furnish financial advice to any client or potential client;
2.2.3 solicit, receive, pool, manage or administer funds or assets on behalf of the public, of investors or of any other person;
2.2.4 operate, administer or manage a collective investment scheme, and has issued no participatory interest to any person;
2.2.5 receive any compensation, whether directly or indirectly, for the provision of any financial service, and accordingly does not act as a financial intermediary;
2.2.6 perform any function reserved to an exchange, a member of an exchange, a securities dealer, a central securities depository or a securities clearing house; or
2.2.7 hold itself out as doing any of the foregoing.
2.3 Guscora is accordingly not a financial institution, a financial intermediary or a provider of financial services, and falls outside the classes of person required to be registered with or supervised by NAMFISA.
3. Consequences for any person dealing with Guscora
3.1 Because Guscora is not a regulated entity, a person dealing with Guscora does not enjoy the protections that the financial services laws of Namibia confer upon the clients of registered financial institutions and financial intermediaries, including the supervisory, prudential, market conduct and complaints mechanisms administered by NAMFISA.
3.2 No content of this website constitutes financial advice, an offer to the public, or an invitation or inducement to acquire, subscribe for, dispose of or deal in any financial product, security or interest of any nature. No person should rely upon any content of this website in taking any investment, financial, legal or tax decision.
3.3 Guscora does not accept funds or assets from members of the public for investment, and may not do so unless and until it holds the registrations required by law.
4. Status of this notice
4.1 This notice records the position of Guscora under the laws of the Republic of Namibia as at 18 September 2026. It is a statement by Guscora and does not constitute a determination, ruling or confirmation by NAMFISA or by any other regulatory authority.
